Well the good news in the S&P downgrade warning is that we at least know it wont happen for a couple weeks/months if at all.......................so one less thing to come out of the blue................

WASHINGTON -(Dow Jones)- U.S. factory orders fell for a second straight month during October as manufacturers struggle to build momentum during a slow economic recovery.
October orders decreased by 0.4% from the prior month to $450.03 billion and September orders fell a monthly 0.1% after they were revised down from a previously estimated gain of 0.3%, the Commerce Department said Monday.
Economists surveyed by Dow Jones Newswires had forecast a 0.5% decline for October.
The recent declines come after improvement for the factory sector earlier this year.
"The demand for manufactured goods is recovering moderately, and irregularly," but that recovery has been "relatively weak" in comparison to the magnitude of the previous decline, said Steven A. Wood, chief economist for Insight Economics LLC.
Capital investment on equipment by U.S. businesses in October also fell. Non- defense capital goods orders excluding aircraft dropped by 0.8%. The category of orders serves as an indicator of the confidence businesses have in the economy.
The overall decline in factory orders was driven by decreases in electrical equipment, commercial airplanes and boats. Orders for cars, machinery and computers increased.
Excluding transportation, factory orders were up in October, rising by 0.2% after a gain of 0.9% during September. Orders for capital goods fell in October, down 5.5%. Non-defense capital goods dropped 3.7%.
Excluding defense orders, overall factory orders in October rose 0.1%, after falling 0.2% in September.
Private sector spending is growing modestly but overall orders are being held back by cuts to both federal and local government spending, said Daniel J. Meckstroth, chief economist for the Manufacturers Alliance/MAPI.
"The report shows that government austerity talks in Washington is starting show up," he said, noting pullbacks in ship orders and overall defense orders.
The factory report showed durable goods orders fell 0.5% in October, revised up from a previously estimated decline of 0.7%. Durables are goods designed to last at least three years, such as computers.
Unfilled orders, a sign of future demand, were 0.2% higher. Inventories increased 0.9%, the 24th gain in 25 months.
Last month, the U.S. services sector saw the pace of its growth slow.
The Institute for Supply Management's non-manufacturing purchasing managers' index came in at 52.0, down from 52.9 in October, the lowest reading since January 2010.
Forecasters had expected last month's PMI to edge up to 53.5. Readings above 50 indicate expanding activity. The non-manufacturing index has been in expansion territory for two years.
The report said respondents project continued slow, incremental growth but there still remains a strong concern about lagging employment.
